この利用規約（以下「本規約」）は、Haiburi LLC（以下「当社」）が提供するオンライン講座および個別コンサルティング（以下「本サービス」）の利用条件を定めるものです。
第1条（適用）
本規約は、本サービスを受講するすべての方（以下「受講者」）に適用されます。個別の契約書に本規約と異なる定めがある場合は、契約書の定めが優先します。
第2条（本サービスの内容）
本サービスは、米国LLCの設立・運営、海外移住の準備等に関する一般的な情報提供と教育を目的とします。本サービスは税務・法律・移民手続に関する専門家の助言ではなく、受講者は必要に応じて税理士・弁護士等の専門家に相談するものとします。
第3条（申請手続と結果）
各種申請は受講者ご本人の名義と責任で行うものとします。ビザの発給、銀行口座・決済サービスの開設、事業の成果等は、各国の当局・金融機関・第三者の判断によるものであり、当社はこれらを保証しません。
第4条（契約の成立）
受講契約は、受講者が当社所定の契約書に同意した時点で成立します。
第5条（料金と支払い）
受講料は各講座の案内および契約書に記載のとおりとし、受講者は請求書発行日から7日以内に、当社指定の口座へ銀行振込で支払うものとします。振込手数料は受講者の負担とします。
第6条（解約・返金）
解約および返金は、別途定める返金ポリシーに従います。
第7条（禁止事項）
- 講座の教材・動画・資料を第三者に共有、転売、公開する行為
- 虚偽の情報や他人の情報を用いて申請等を行う行為
- 法令または公序良俗に反する目的で本サービスを利用する行為
- 当社または他の受講者の権利・利益を侵害する行為
第8条（知的財産権）
本サービスで提供する教材等の著作権その他の権利は、当社または正当な権利者に帰属します。
第9条（免責）
当社は、本サービスで提供する情報の正確性に努めますが、各国の法令・制度・金融機関の条件は変更される場合があります。当社の故意または重過失による場合を除き、当社の責任は受講者が当社に支払った受講料の額を上限とします。
第10条（規約の変更）
当社は、必要に応じて本規約を変更できるものとし、変更後の規約は本ウェブサイトに掲載した時点から効力を生じます。
第11条（準拠法・管轄）
本規約は日本法に準拠し、本サービスに関する紛争は、大阪地方裁判所を第一審の専属的合意管轄裁判所とします。

These Terms govern the online courses and 1:1 consulting services (the "Services") provided by Haiburi LLC ("we", "us").
1. Scope
These Terms apply to all clients of the Services. If an individual service agreement conflicts with these Terms, the service agreement prevails.
2. Nature of the Services
The Services provide general information and education on topics such as forming and operating a U.S. LLC and preparing to relocate abroad. The Services are not professional tax, legal or immigration advice, and clients should consult licensed professionals where necessary.
3. Applications and outcomes
Clients submit all applications in their own name and at their own responsibility. Visa issuance, bank or payment account approval, and business results depend on decisions by authorities, financial institutions and other third parties. We do not guarantee any outcome.
4. Formation of contract
A contract is formed when the client agrees to our service agreement.
5. Fees and payment
Fees are as stated in the program description and the service agreement. Clients pay by bank transfer to our designated account within 7 days of the invoice date. Bank transfer fees are borne by the client.
6. Cancellation and refunds
Cancellations and refunds are handled under our Refund Policy.
7. Prohibited conduct
- Sharing, reselling or publishing course materials to third parties
- Using false or third-party information in any application
- Using the Services for any unlawful purpose
- Infringing the rights or interests of us or other clients
8. Intellectual property
All rights in course materials belong to us or their rightful owners.
9. Limitation of liability
We strive to keep information accurate, but laws, regulations and financial institutions' requirements may change. Except in cases of our willful misconduct or gross negligence, our liability is limited to the fees paid by the client.
10. Changes
We may amend these Terms. Amended Terms take effect when posted on this website.
11. Governing law and jurisdiction
These Terms are governed by the laws of Japan. The Osaka District Court has exclusive jurisdiction in the first instance over any dispute relating to the Services.
